Introduction

These Terms and Conditions (“Terms”) govern your use of outthere.jp’s website and consulting services. By accessing our website or engaging our services, you agree to be bound by these Terms.

Please read these Terms carefully before using our services. If you do not agree to these Terms, please do not use our website or services.

Services

outthere.jp provides web consulting services including but not limited to:

• Agile branding and identity design
• UX design and web development
• Infrastructure and systems implementation
• Digital transformation consulting

All services are delivered on a sprint-based agile methodology as outlined in our proposals and service agreements.

Service Engagement

Consultation and Proposal

• Initial consultations are provided free of charge
• Services begin only upon mutual agreement and signed contract
• Project scope, timeline, and deliverables are defined in individual proposals
• We reserve the right to decline any project or engagement

Sprint-Based Delivery

• Services are delivered in monthly sprints at ¥150,000 per sprint
• Each sprint includes defined deliverables and feedback opportunities
• Sprint scope may be adjusted based on feedback and changing requirements
• Hardware, software licenses, and hosting costs are billed separately at cost

Payment Terms

Invoicing and Payment

• Invoices are issued at the beginning of each sprint
• Payment is due within 7 days of invoice date
• Accepted payment methods: Bank transfer (Japanese yen)
• Late payments may result in service suspension

Refunds

• Services are provided on a sprint-by-sprint basis
• Refunds are evaluated on a case-by-case basis
• Completed sprint work is non-refundable
• Unused hardware/software purchases may be refundable subject to vendor policies

Client Responsibilities

As a client, you agree to:

• Provide timely feedback and approvals
• Supply necessary information, content, and materials
• Designate an authorized point of contact
• Respond to communications in a reasonable timeframe
• Pay invoices according to agreed terms
• Respect our team’s working hours and boundaries

Intellectual Property

Client-Owned Work

• Upon full payment, you own the final deliverables created specifically for your project
• This includes logos, designs, code, and other custom work product
• Ownership transfers only after complete payment is received

outthere.jp-Owned Work

• We retain ownership of our methodologies, processes, and frameworks
• Pre-existing code libraries, templates, and tools remain our property
• We may use de-identified project learnings for future work

Portfolio Rights

• We may showcase completed work in our portfolio with your approval
• Client testimonials require explicit written permission
• We will not disclose confidential business information

Confidentiality

Mutual Confidentiality

• Both parties agree to keep confidential information private
• Confidential information includes business plans, financial data, and proprietary information
• Confidentiality obligations survive termination of services
• We will not use your confidential information except to provide services

Exceptions

• Information that is publicly available
• Information independently developed
• Information required to be disclosed by law

Warranties and Disclaimers

Our Warranties

• We will perform services with reasonable care and skill
• We will deliver services substantially as described in proposals
• We have the right to provide the services offered

Disclaimers

• Services are provided “as is” without warranties of specific results
• We do not guarantee specific business outcomes or metrics
• Website hosting and third-party services are subject to their own terms
• We are not responsible for third-party service failures

Limitation of Liability

To the maximum extent permitted by Japanese law:

• Our liability is limited to the amount paid for services in the past 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for lost profits, data, or business opportunities
• This limitation applies regardless of the legal theory of liability

Exceptions to these limitations include:

• Gross negligence or willful misconduct
• Claims for personal injury
• Violations of applicable consumer protection laws

Term and Termination

Engagement Duration

• Service engagements continue sprint-by-sprint unless terminated
• Either party may terminate with 30 days’ written notice
• Ongoing sprint work will be completed unless otherwise agreed

Effect of Termination

• Payment is due for all completed work
• Intellectual property transfers only for fully paid work
• Confidentiality obligations continue
• We will provide transition assistance as reasonably requested

Limitation of Client Numbers

• We intentionally serve only 3-5 clients at any time
• If at capacity, we will refer you to other quality professionals
• Existing clients are not guaranteed renewal if we’re restructuring our client roster

Governing Law

These Terms are governed by the laws of Japan. Any disputes will be resolved in accordance with Japanese law and jurisdiction.

Dispute Resolution

Good Faith Negotiation

• Disputes should first be raised via email to [email protected]
• We will attempt to resolve issues through good faith negotiation
• Both parties agree to act reasonably and professionally

Formal Resolution

• If negotiation fails, disputes may be resolved through mediation or arbitration
• Location: Okinawa, Japan
• Language: Japanese or English as mutually agreed

Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the “Last Updated” date
• Email notification for significant changes

Continued use of services after changes constitutes acceptance of updated Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

Entire Agreement

These Terms, together with any signed service agreements and proposals, constitute the entire agreement between you and outthere.jp regarding our services.
